The General Resolution No. 8/2022 of the Inspectorate General of Justice (hereinafter the "Resolution") has put an end to the exception established in General Resolution No. 11/20, regarding the possibility of holding meetings of administrative or governing bodies virtually - in cases where the bylaws did not provide for them -, which was motivated by the health emergency due to the COVID-19 pandemic.

While the purpose of the Resolution is to provide legal certainty, the Inspectorate General of Justice allows remote meetings as long as they arise from the bylaws or social contract.

Consequently, if there is an intention to maintain this practice from times of social isolation, it will be necessary for it to be provided for in the bylaws or social contract, either at the time of the company's incorporation or through a statutory amendment.
